These Terms govern your use of PageBridge’s services and any purchase made via Stripe Checkout/Payment Links: By checking the box, clicking ‘Pay,’ or otherwise completing checkout, you agree to these Terms and consent to receive electronic communications related to your subscription.
1) Scope of Services
We implement and maintain a standardized package for one business location: website/landing page or funnel, GoHighLevel (GHL) CRM workspace configuration, core automations (missed‑call text back, review requests, basic nurture), chat widget + lead capture forms, online booking/calendar, simple reporting dashboard, and light support. Any work not expressly listed (e.g., custom design, complex integrations, advanced automations, multi-location builds, ad management, copywriting beyond templates, or HIPAA configuration) is out of scope and quoted separately.
2) Fees, Billing & Term (Month-to-Month Subscriptions)
Plans: Services are month-to-month subscription plans (USD, taxes additional): Starter $97/mo, Essentials $197/mo, Professional $297/mo. There are no setup or one-time fees.
Billing & Auto-Renewal. Charges occur monthly beginning on the date the first subscription payment posts (the “Billing Date”). The subscription auto-renews on that same calendar day each month until canceled under Section 4. Unless stated otherwise, all fees are due on the charge date, non-refundable, and not prorated for partial periods. We do not prorate mid-month starts or cancellations; service continues through the end of the current billing period.
Setup & Activation (summary). Standard onboarding typically takes approximately three to five (3–5) business days after Client completes intake and grants the required access (including but not limited to domain/DNS, Google Business Profile, and payment method for messaging). We begin setup promptly after your initial subscription payment. The setup window is included in and does not pause, extend, or shorten your initial subscription term. There is no free trial; subscription fees start on your first charge date.
Third-Party/Pass-Through Costs. Client is responsible for usage-based and external vendor fees required to deliver the Services, including without limitation: phone/SMS, voice minutes, email sending, domains/DNS, advertising platforms, AI credits, and applicable regulatory/tax surcharges.
Included Features by Plan (Scope Summary)
Starter ($97/mo): Website hosting + SSL, 1 lead form routed to CRM + email/app alert. No business number, SMS, phone calls, chat, review automation.
Essentials ($197/mo): Essentials ($197/mo): Everything in Starter plus missed-call text-back, automatic Google review responses, automatic Google review feed/updates, and Google-compliant review request automation.
Professional ($297/mo): Everything in Essentials plus a 90-day win-back remarketing campaign, a 4–5-star-only Google review funnel, website live chat widget, and automatic text and email appointment confirmations to customers.
Phone, Messaging & Monthly Allowances. Each subscription follows the monthly allowances stated below. (reset each billing cycle; no rollover). Additional numbers are $2/month each unless otherwise stated.
Starter: No included messaging/voice (not available on this plan).
Essentials: 500 SMS segments + 200 voice minutes + 1 number included.
Professional: 1,500 SMS segments + 500 voice minutes + up to 2 numbers included.
Overages billed at posted rates; carrier taxes/fees are pass-through.
Overage & How It’s Charged. Usage beyond the allowance is billed monthly in arrears at $0.02 per SMS segment and $0.05 per voice minute (USD), plus any applicable carrier taxes/regulatory fees. Overage is invoiced via Stripe to Client’s saved payment method (or by Stripe invoice if no method is on file). Provider will send usage alerts at approximately 100% of the allowance and will not exceed $50 in overage in a single cycle without Client’s written or in-app approval.
Measurement & Definitions. Usage is determined by Provider’s telephony logs (e.g., LeadConnector/Twilio). SMS are billed per segment (long messages may consume multiple segments). Voice minutes round up to the next whole minute per call. Carrier-failed/blocked attempts may still incur usage depending on carrier handling.
Fair Use & Compliance. Client must maintain documented opt-in consent and comply with A2P 10DLC or Toll-Free verification requirements, CTIA guidelines, TCPA, CAN-SPAM, and applicable laws. We may throttle, suspend, or require remediation for traffic that threatens deliverability/compliance (e.g., spam complaints, opt-out spikes, prohibited content).
If carrier/regulatory costs materially change, Provider may update overage rates with thirty (30) days’ notice (email or in-app). Plan base fees may change on renewal with notice.
3) Client Responsibilities
Provide timely access to platforms, accurate business info, logos/brand assets, and decision‑maker availability. Delays may extend timelines without affecting billing.
4) Cancellation & Refunds
Month-to-month. Cancellation requires written notice (email to [email protected]) at least thirty (30) days before the next Billing Date. No refunds are provided for partial months, completed onboarding, or third-party charges. Service and access continue through the paid billing period.
5) No Performance Guarantees
We supply tools, configurations, and best‑effort implementation. We do not guarantee leads, appointments, revenues, or ranking improvements.
6) Content, Data & Compliance
Client is responsible for obtaining consent for SMS/email marketing and for the legal content of campaigns (TCPA, CAN‑SPAM, CTIA, and applicable laws). If you handle protected data (e.g., health information), you must notify us in writing before onboarding so we can scope HIPAA/HITECH add‑ons (additional fees apply). You are solely responsible for record retention and legal compliance for your industry.
7) Intellectual Property & License
PageBridge templates, snapshots, automations, and frameworks remain our IP. So long as your account is paid and in good standing, we grant you a non‑exclusive, non‑transferable license to use the deliverables in your own business. Export/reuse for agencies or other businesses requires our written consent.
8) Third‑Party Services
Phone/SMS providers, email senders, domain registrars, ad platforms, AI models, and hosting are third‑party. Rules, downtime, and policy changes are outside our control. You agree to follow all third‑party terms. Platform Policies: Features that depend on third-party platforms (e.g., Google, Meta, Twilio/Carrier networks) are subject to those platforms’ approval and policies; we do not guarantee approvals, deliverability, or continued availability.
9) Payment Issues & Chargebacks
You authorize recurring charges to your payment method. If a valid charge is disputed/charged back, you will reimburse any processing/chargeback fees and resolve the balance promptly. We may pause services for non‑payment.
10) Confidentiality
We each will keep the other’s non‑public information confidential and use it only to perform under these Terms, except as required by law. Client will defend, indemnify, and hold PageBridge harmless from claims, damages, costs, and liabilities arising from Client’s content, data, contact lists, or use of the Services in violation of law or third-party rights.
11) Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim is limited to the fees you paid to PageBridge in the 30 days before the event giving rise to the claim. No indirect, incidental, special, or consequential damages.
12) Termination for Cause
We may suspend or terminate services immediately for abuse, illegal activity, policy violations, or failure to pay. Neither party is liable for delays or failures caused by events beyond reasonable control (including outages, carrier issues, labor disputes, acts of God, or changes in platform policies).
13) Governing Law & Venue
These Terms are governed by the laws of California; the exclusive venue is Riverside County, CA.
14) Updates to Terms
We may update these Terms from time to time. The latest version will be posted at your Terms URL and applies on posting. Material changes will be noted by updating the effective date.
Ownership, License & Migration
Ownership. Client owns (a) the domain name registered for Client’s business and (b) the website content (text, images provided by Client, and the compiled page designs as delivered). PageBridge (the “Agency”) retains all right, title, and interest in its internal templates, snapshots, workflows, pipelines, forms, calendars, automations, scripts, SOPs, and related know-how (“Agency IP”).
License. While Client’s account is paid and in good standing, Agency grants Client a non-exclusive, non-transferable license to use the Agency IP only within Client’s sub-account for Client’s own business purposes. Client may not resell, sublicense, copy to other accounts, or reuse Agency IP for other businesses without Agency’s written consent.
Migration on Request. Within five (5) business days of Client’s written request (and provided the account is current), Agency will:
Domain: transfer or assist transfer/push of the domain to a Client-controlled registrar account; and
Website: export/clone the website pages and content to a Client-owned sub-account (or other platform) and provide live URL(s).
For clarity, Agency IP (including snapshots and automations) is not transferred under standard migration.
Phone Numbers. Business phone numbers used in the account may be: (a) retained in Agency’s system and billed to Client’s card; (b) replaced with a new number in the Client-owned sub-account; or (c) ported to another provider if eligible (porting timelines/fees are carrier-dependent). The agency will assist but cannot guarantee carrier timing or approval.
Third-Party Assets. Licenses for fonts, images, plugins, AI tools, or other third-party services remain subject to their licensors’ terms and are not assigned unless permitted by those licensors.
